These Terms of Service ("Terms") govern your use of uplads.com ("the Service"), operated by replient.ai Software GmbH, Derflerstraße 27/1, 4040 Lichtenberg, Austria ("we", "us", "our"). By using our Service, you agree to these Terms.

2. Description of Service

uplads.com is a bulk ad launch platform that allows you to upload creative assets and launch advertising campaigns across Meta (Facebook/Instagram) and other advertising platforms. The Service interacts with third-party advertising APIs on your behalf.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years old to use the Service.
• You are responsible for all activity that occurs under your account.

4. Meta Platform Integration

By connecting your Meta account to our Service, you:

• Authorize us to access your ad accounts, pages, and related data as described in our Privacy Policy.
• Confirm that you have the authority to manage the connected ad accounts.
• Acknowledge that your use of Meta's advertising platform is also subject to Meta's Terms of Service and Advertising Policies.
• Understand that you can revoke access at any time through your Facebook Business Integrations settings.

5. Your Responsibilities

• You are solely responsible for the content of ads you create and launch through our Service.
• You must comply with all applicable advertising laws, regulations, and platform policies.
• You must have the rights to use any creative assets you upload.
• You are responsible for all advertising spend incurred through your connected ad accounts.
• You must not use the Service for any unlawful purpose.

6. Intellectual Property

You retain all rights to the creative assets you upload. By uploading content, you grant us a limited license to store, process, and transmit your content solely for the purpose of providing the Service. We do not claim ownership of your content.

7. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted availability. The Service depends on third-party APIs (Meta, etc.) that may experience downtime or changes outside our control. We are not liable for any losses resulting from service interruptions.

8. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind.
• We are not liable for any indirect, incidental, or consequential damages.
• We are not responsible for advertising spend, ad performance, or campaign results.
• Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

9. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of Austria. Any disputes shall be subject to the exclusive jurisdiction of the courts of Linz, Austria. If you are a consumer within the EU, you also have the right to bring proceedings in the courts of your place of residence.
